Description

Description

The second edition of European Commercial Law is an extremely valuable tool that systematically explores commercial law in its union dimension.

The book addresses the basic issues and principles governing the community legal order, as well as the fundamental freedoms, and delves into competition law, industrial and intellectual property law, community trademark law, European company law, and insolvency law.

Since the first edition, the Treaty of Lisbon has intervened, reshaping the European constitutional order, as well as a multitude of regulations of EU secondary law, such as Regulation 139/2004 on the control of concentrations between enterprises and Regulation 330/2010 on vertical agreements (competition law), Directive 2008/95/EC on trademarks (trademark law), the codified Directive 2009/24/EC on the legal protection of computer programs, the codified Directive 2006/115/EC concerning the right of rental, the right of lending, and certain rights related to intellectual property in the field of intellectual products, the codified Directive 2006/116/EC on the duration of protection of copyright and certain related rights, Directive 2004/48/EC on the enforcement of intellectual property rights (intellectual property law), Directive 2006/43/EC on mandatory audits of annual and consolidated accounts, Directive 2005/56/EC on cross-border mergers of limited liability companies, the codified Directive 2009/102/EC on single-member LLCs, and Directive 2004/25 on public tender offers (European corporate law).

This edition also utilizes -with thorough analysis of the major decisions where necessary- the case law of the EU Courts, which continuously opens interpretative avenues, forming common legal solutions.
